Recent years, buying some companies overseas become more and more the international strategy of the Chinese companies. Although the wish is good, after making great efforts, almost every company failed at last, why was that? How to prevent these blind international buying and integrating? That is what the paper wants to answer.Based on this purpose, the paper first introduces the theory foundation of common enterprises' integrating failure, hoping to analysis some cases guided by theory. Secondly, the paper illustrates Benq's integration strategy, instructs the whole process of the integration. By analyzing the process and using the project management way to identity the key factor to integrate, that is quality,cost and time; then the paper discusses the deep-seated reason that caused the failure in Benq's Integration of Siemens Mobile business, which is the mistake of the basic presumption of Germany and Germany company. at last, the paper concludes the reasons of integration failure, and bring some important points that Chinese companies should pay attention to when they want to buy and integrate business and companies overseas.The author thinks that the reason why Benq failed is its relative weak strength and the shortage in project management on how to integrate project business , its weakness lies in the too high integrate quality,the too short time to integrate and the too low budget that will cost to integrate. The deep-seated reason is the understanding of culture differences. Benq has ignored the maturity of relatively strong position of Germany corporate culture and look down the labor union's strong power, which has scale effect to same kind of Chinese companies.
