With the socialist market economy improving and perfecting in 20 more years of reform and openness, the Chinese family firm become a important strength in Economic field from backstage to downstage, from small to large. At present, China is in key stage of economic growth, and the family firm is so important for Chinese economy, but both theory boundary and business circles are disregard the development of family firm. To grasp Chinese economy, especially to understand the development of enterprise organization is difficult under the situation of being short to thorough acquaintance of family firm.This thesis use the studies method, such as the study of document, case study and contrast studies, based on two-rights-depart of the family firm in modern times, guided by the theory of modern family firm and controlling power pertinently, set off from the definition of the family firm and the controlling power, and fixed definition range of the family firm and the controlling power clearly basis on the prehominid's research result about family firm definition and controlling power theory.At aspect of the benefits of control, this thesis has analysed the contend for controlling power systemly between the clan members and between the clan member and the professional manager using the method of game comments.At aspect of the control power transferring, this thesis has explained the difficult of outside transferring and resistance of inside succeeding by building-up the model of capacity- trust-four-area and the model of resistance of inside succeeding ,based on studying in the control power transferring of family firm of our country at present; and had explained the possibility that decision right transferring outside using the case analyses.At aspect of the enterprise governance, this thesis has introduced the market orientation pattern of USA, pyramid type pattern of Germany and network type of Japan respectively. It had got the conclusion and enlightenment about founding and perfecting the enterprise governance mechanism of family firm in our country by comparison to the enterprise governance pattern of various nation.Family firm in rotating type economy still existence a lot of abuse,such as the clan control many shares, use people who is relative and the parents style management, so it is top priority to found the efficient governance structure of the family firm.
