A large number of theories and researches which take qualitative analysis as main method reveal that the entry of FDI can exert an important and positive influence on the industry technological progress, the improvement of productivity ,and even optimization of the whole industrial structrure of the host country or target area.The influence contains technology input,technology overflow,as well as knowledge overflow etc.FDI(Foreign Direct Investment)bring in the advanced technologies,excellent management skills through the "Spill-over Effect''which will eventually increase the productivity of local firms.On the other hand,the superior technology employed by foreign firms allows them to produce more efficiently,and use their competitive advantages to drive local competitors out of business .By analysis, this text gets some conclusion,the "Spill-over Effect " is objective and existent, but the technique overflow degree to be decided by to supply square and technique to absorb square's an interactive process, Be the host country we should the unimpeded technique overflow of outlet, increase the technique spillage degree.In the meantime, we should also wide awake ground to know, the outside company invests a business enterprise to impossibly bring China the core technique and advanced technique directly, so, at some key professions and the key realm, the our country shouldn't depend on the technique that brings in the foreign capital completely, should insist walk the independence is creative of road.This text begin with direct change of investment constitute,and analyse the impact of FDI on technological spillover ,then give a demonstration research on the extent of effection ;lastly ,give some suggestion about adjusting the constitute of FDI.
