The mechanism of corporate governance has a great influence on the competition of commercial banks, because the mechanism of corporate governance is the core among institutions which are important to banks. With the developing of theory and practice, people pay more attention to the corporate governance of commercial banks.However, theorists have different views about the objective of the bank's corporate governance. Some scholars believe that the objective should be to achieve maximization of shareholder's interests, but another scholars put forward different opinions which are to achieve maximization of stakeholder's interests.In practice, countries adopt the model of corporate governance according to the fact ,the law, and the tradition. For example, Germany encourages banks to aim at the maximization of stakeholder's interests. This paper introduces specific practice of Deutsche Bank in the way of case analysis.Whichever model is adopted, effective model always reflects common principles.This paper argues that the common principles are equality,accountability,transparence and clearance through introducing Principles of Corporate Governance issued by OECD and Enhancing Corporate Governance for Banking Organisations issued by the Basel Committee on Banking Supervision.This paper argues that the objective of bank' s corporate governance is not the maximization of shareholder's interest , but the maximization of stakeholder's interestThis paper elaborates how to set up the co-governance model of commercial banks on the base of stakeholder theory further, the co-governance model is against the shareholder primacy, not against that shareholders seek maximization considering other stakeholders' interests.
