Economic globalization and international economic integration are the main trend of the world economic development. As the international competition become tougher and tougher, the transnational M&A has become the main way of the transnational corporation to proceed with the international strategic. The world has experienced five waves of the transnational M&A. Especially the proportion between transnational M&A and FDI was 87.1% in the year of 2000. Since 2001, the proportion started to come down. Many studies showed that it was because of the low rate of success of the transnational M%A. Also, the western theoretical and business researchers consider that the key reason that leads to the failure of the transnational M&A is the inappropriate integration after transnational M&A.Generally speaking, the purpose of the M&A is to create more value for the enterprises. The opinion of this thesis is that it is the step of the integration that accomplish the value creating, and the value that is created during the integration is accomplished through the co-effect of transnational M&A. Based on the above opinion, the thesis discuss the process of the value-creating during the integration and the mechanism how co-effect impacts the value-creating from the root. Also the thesis analyzes the co-effect form three levels which are the integration of advantage of competition, the conflict of culture and the human resources. This thesis attempts to provide some useful proposals and suggestions through the deep analysis of the process of value-creating and the accomplishment of co-effect by effective integration of transnational M&A.
