This paper, based on the views of retailers ,is about how to build up a Win-Win model of distribution which is more matching the actual outlet and through the establishment of this kind of mode to discuss the actual application value of the analytical mode.This kind of mode can let the distribution relation develop toward more excellent direction, and raise the benefits and satisfactions of each outlet member and then can attain the purpose that is a kind of long-term cooperation and totally winning.Thus, the outlet member's relation would be more firm and their efficiency will be raised.The theoretical contribution is mainly lying on the research that is related to analysis based on the view of the dealer,which are not many reseaches. Tshis text take the dealers as the starting point with the establishment of Win-win model and found no researchers to carry out the research relavent to this definition.This paper collected the previous studies related to this topic with the aim of setting a mathmatics win-win model which is used for proving the possibilty of setting this model. Then using the substantial evidence analysis is to elaborate the importance of each factor.Then hope this model will be beneficial to set up a harmonious distribution member relationship. But in real market, each member considered their own benefits and the competiton is so severe.each member is taking self-interest as core and never think to enlarge the total volume of the outlet.Finally this text taked two case examples , becoming the fresh and clear contrast to explain how to set a Win-Win model for the outlet.In conclusion, current market is already not the competition between individual dealer and manufacturer, but the whole competition of outlet.such competitive advantage once formated, can hardly break.So this text takes Win-win model as research object to establish it from the angle of case.In view of practical value, that is to take it in the fulfillment, and then use it in actual.
