State-owned enterprises are important part of the national economy, and theirperformances will have a direct effect on the healthy development of the nationaleconomy. The managers have an important role for the enterprises'performance.Therefore, constructing a scientific, efficient incentive and constraint mechanisms isan important thing to improve the efficiencyof state-owned capital, prevent the loss ofstate assets, and preserve and increase the value of state assets. And it is also the keyfor deepening economic reform and the establishment of modern enterprise system.This paper has used the latest domestic and foreign literature, research resultsand the survey data about the incentive and constraint mechanisms for reference, andhas done an in-depth study. This paper uses the self-organization theory to analyze theevolutionary process of state-owned enterprises. Through analyzing the problem in theoperating system and the incentive and constraint mechanisms of state-ownedenterprises, combined with the experience in building the incentive and constraintmechanisms of Western developed countries, this paper reveals that the incentive andconstraint mechanism is closely related to the external factors and puts forward somesuggestions for the building of incentive and constraint mechanism. This paper also usesthe catastrophe theory to study the relationship between incentive measures and theeffort of the managers. It has also designed the evolutionary mode of the incentive andconstraint mechanisms. Based on these things, this paper has put forward someproposals to build an effective incentive and constraint mechanism including thecompensation incentive mechanism, reputation incentive mechanism, controlincentive mechanism,the market competition mechanism and so on. It also has studieddifferent combinations of measures based on the growth stages of manager andenterprise.The results of this paper will be a supplement of the incentive and constraintmechanism's theoretical system. It will be helpful for the government departments andthe business management departments to change their ideas and concepts. And it willalso helpful to establish an incentive and constraint mechanism with strongself-organizational capacity which is in line with the requirements of the marketeconomy. It is conducive to the state-owned enterprise reform and development. It alsohas great significance to improve the incentive and constraint mechanisms, build ahigh-quality managers'team, and promote the healthy and stable development ofstate-owned enterprises.
