In the background of globalization and fast development of Information technology, China's local companies would more and more face the global wide competition. The policy preference has switched from"get in"to"go out"which arise a higher standard of the operation of local companies, Meanwhile, our country is in the process of constructing a harmonious society and sustainable development, to this extend, local companies should act as a citizen as well as improve their competitive capacity. In this occasion, transformational leadership is crucial to the change and future development, we also should see that, trust in leader, which is an important outcome of transformational leadership, is also the foundation of harmonious society. So there two concepts and their relations become the focus of this article. We will investigate these through both theoretical and empirical study.The majority of previous studies were done in western culture, and only a few of them have consideration on the circumstance of leadership effectiveness. Leadership, in nature, is a kind of social exchange process,so the analysis of leadership should include not only the character and behavior of the leader, but also the character of the subordinates and the situation where the leadership take effect. So on the basis of previous literature, the author state the hypothesis that organizational justice have positive effect on subordinate's trust in leader through the mediating effect of transformational leadership, and we also argue the moderate effect of subordinate's proactive personality in the relation of justice to transformational leadership and trust. With this we form a systematic model of the formation of trust in leader.This article is of a dyadic level research which is based on the individual awareness, but we also include some organizational level variable such as procedural justice and distributive justice due to the consideration of attribution error.The sample of this study come from some major SOEs in five cities around China, the number of valid sample is 234, and through the result of correlation analysis, linear regression analysis, CFA, EFA and SEM using SPSS and AMOS, we find strong support of our major hypothesis in the dyadic level which means interactive justice have positive effect on subordinate's trust in leader while transformational leadership have a complete mediate effect, distributive justice and procedure justice, which are organization level variables, can not pass the significant test.Also, the moderator effect of proactive personality has been supported by our data, we find that the proactive personality of subordinates moderate the effect of interactive justice on transformational leadership and trust in leader, which means while the score of proactive personality is high, the effects are more considerable.In the last part of this article, we state the significance of current study, the implication to management practice, and also point out the deficiency of current study and clues for future research.
