With booming development of stock market,the turnover of top manager has been one of the most important decisions made by the board or shareholder's meeting in one corporation.As key control mechanics for top managers ,such issue is widely researched by accounting and finance researchers. A magnitude of publication on this field pvovided us a solid basis for further study. The stock market of our country has developed more than ten years.during the period,frequent phenomenon that turnover of top manager has caused the extensive concern by government sections and stock market,it also stirred up the local academic interest in it.At present,due to early research stage in our country,the research result is vey limit,So this pape(?)try to collect a great deal of dates and examples from the stock market,with turnover of top manager in listed company for correspond point,with new angle of encourage and restrict top manager ,making full use of abundant theories and research of domestic and international academic circles,which provided us model and statistic analysis method,which make demonstration analysis by management performance,ownership of share instructure,control power market,incentive mechanism and company itself etc effect factors, making demonstration analysis on relationship between the turnover of top manager and it's effect factors,namely drawing some general coulusions of main factors that impact turnover of top manager.Go deep into study turnover of top manager,can provide us the instruction for encourage and restrict top manager,build up modern business enterprise system and raise management level,which all have important meaning in business enterprise,also it hope to provide some suggestion for our country's listed company management and state-owners enterprise reform.The parper is arranged in six chapters,each chapters's content is as following:Chapter 1 is introduction part. In this chapter it provided the research background purpose ,range and method of research,logic way of thinking and article structure.Chapter 2 is relevant research overiew. In this part it briefly expound the current situation of relevant research and theories foundation about turnover of top manager.Chapter 3 is the influencing effect of turnover of top manager. In this part, it analysis the present condition that turnover of top manager in our country's listed company,then list the influencing effect of turnover of top manager.Chapter 4 is demonstration analysis on influencing factors of turnover of top manager in china's listed company. This part is the core of the paper.First,make some hypothesis,variables and stylebook.Then make demonstration analysis on relationship between the turnover of top manager and it's effect factors by using the statistic analysis,related analysis and logistic analysis. Final,it draw some general conclusions of main factors that impact turnover of top manager.Chapter 5 ,based on the conclusion,the paper put forward some policy suggestion for turnover of top manager in our country's listed company.The last chapter, it summarize the conclusion of the paper, put forward myself view on the limitation of the paper and direction studied further in the future.
