The theory and technology of project management has made great progress ever since the 40s of last century, especially in the latest decades, with the development of information technology, project and project management has got out of the restrict of time and space, and been far beyond the organization limits. More and more projects can only be finished by the collaboration of different enterprises, and the trend of co-project is becoming evitable. For the project, the stakeholder hold the critical resources to the success of the project, their support to the project is the fundamental to achieve the goals of the project, so under this situation, it's the key point for the success of the co-project whether we can establish an effective collaborating mechanism.The paper is derived from this consideration, and it reviews the operating mechanism of the collaborating projects in the view of Cooperative Game theory, and discusses the process of how the stakeholder take part in the bargaining and then establish the impartial and efficiency allocation method in the causes of complete information and incomplete information. This paper consists of four parts mainly.The first part consists of chapter one and chapter two, this part analyzes the background of the emerge of the co-project and the developing states, and get the results that the problems in the co-project has exceed the definition of project management, it can only be settled in the view of project governance, exactly as that the problem happen in the dimensions of N can only be resolved in he dimensions of N plus Land based on the review of project governance, stakeholder and play theory, we can find that presently the research of stakeholder in the project governance are focus on the whole profile of the project governance in the view of corporate governance ,and lack of the research of the inner mechanism.The second part consist of the chapter three and four. Based on the analysis of the failure of the co-project, this part search the fundamental principals of collaborating relationship and establish the mechanism of collaboration and use the theory of financial and decision , constructs the expectant income of the stakeholder, and lays the solid foundation for the allocation of profits by bargaining.The third part consist of chapter five and six, based on the expectation, the stakeholder take part in the bargaining play of the allocation of the profit, establish an impartial and rational method of allocation by constant communication , feedback and bargaining. This part use the bargaining model of Rubinstein to analyze the bargaining process of the stakeholder in the cause of complete information, when the stakeholder has the potential outer profits or not, and establish the allocation method of the profits in order to promote the project, and it also use the Markov model to analyze the cause under the incomplete information.The forth part is the chapter seven, based on an actual projects, it validate the profit allocation mechanism by the result of the project and the satisfaction of the stakeholder.The fifth part is the chapter eight, and it gives an all-round summary of this paper, and point out the shortage of the paper and give the direction of further research.
