Speaking of the knowledge-based enterprises, the knowledge is the main capital of the enterprise wealth's creation, and the innovation is the fountainhead of the enterprise wealth's creation, the human capital owners who have the knowledge is to be getting more and more important in enterprise function. Therefore, how to attract these human capital owners, stimulate their production enthusiasm and creativity, become the key of the knowledge-based enterprise development.Enterprise is an organic whole through concluding the lease by the different owners of the capital, labor, technology, management and other elements, the reason that these various elements of the owners invest their special-purpose capital to the enterprises is to create more organizations rent than they go it alone through their mutual cooperation. The community of large-scale production makes the social division of labor increasingly refined, the property special-purpose and the appropriation degree of the various essential factors are changing, and they also different to the enterprise's contribution as well as the relative scarcity, these factors make their bargaining position change in the enterprise: The human capital owner's bargaining position enhances greatly, and the commodity capital owner's status drops. Therefore, the government mechanism of original enterprise isn't able to arouse various essential factor owners'production enthusiasm fully, so, it requests establishing a new kind of enterprise government mechanism to safeguard various essential factor owners'maximized benefit.This article carries on the comparison of the characteristic between the knowledge-based enterprise and the traditional enterprise, and knows the difference of the status of their enterprises constitute elements, business risks and organizational structure. Through analysis the cooperative game between the investors, entrepreneurs and knowledge-based employees, obtains that the cooperation of the entrepreneur and investor is the foundation of the rent creation in the knowledge-based enterprise; the cooperation of the entrepreneur and knowledge-based employees is the core of the rent creation in the knowledge-based enterprise. Therefore, how to promote the transformation of their relations from non-cooperation gambling to the cooperation gambling is the core question attention of the enterprise government. It's conclude that the remaining control and residual claim symmetry targeted to human capital owners is the most efficient on the analysis of the rent creation and distribution in the knowledge-based enterprises. Finally, to make the knowledge enterprise's government mechanism to be better, this article proposes three suggestions, that is, the strengthening system safeguard, implementing the share drive and carrying on the emotion to the staff: the official system's consummation including the government in formulating laws and regulations, property rights system and the establishment of the enterprise contract requirements; unofficial system including the trust mechanism, custom and convention, relational network as well as enterprise culture; the share-driving is to let the staff own the enterprise property rights, unify their own benefit and the enterprise benefit closely, enable them to have the enterprise's host's feeling through implementing ways of technology appraised as capital stock, purchasing stockholder's rights; to carry on the emotion to the staff is to promote the exchange between them and the enterprise, display staff's enthusiasm and creativity maximum limit. |
