Research On Corporate Governance Mechanism Based On Property Rights Of Human Capital

In traditional corporate governance theory think that the ultimate achievement of corporate governance to the maximum extent to realize the most effective protection of shareholders' interests. But with the coming of the knowledge economy age, knowledge as a capital has already boarded the stage of history, the core elements of human capital is playing an increasingly greater role. Talents in Enterprise, especially managers, demand to change the current subordinate position of enterprises, hoping to become the true masters of the company, enjoy the ownership of the company. This requires the introduction of the theory of property rights of human capital in corporate governance, human capital owners and non-human capital owners have equal rights, as a main property rights in corporate governance.Based on study of corporate governance theory, the theory of property rights of human capital and game theory, this paper uses empirical analysis and standard analysis to study the mechanism of corporate governance. First, it study on the rights mechanism of corporate governance, on the basis of establishment of the game model of property rights disposition between human capital owners and non-human capital owners, studying on the mechanism of human capital ownership and Entrepreneur's Compensation; then, it studies on management mechanism of corporate governance, studies on mechanism of decision-making and incentive mechanism based on introduction of the theory of property rights of human capital in corporate governance structure, and establishment the evaluation model of Entrepreneur Human Capital Value based on unascertained measure; and then, it studies on market mechanism of corporate governance, using real options to price the Entrepreneur Human Capital, and establishment of a professional managers reputation mechanism in market point; finally, it studies on lenovo corporate governance case , based on this paper study put forward several suggestions.
