Panjin Liaoyou CY Group is a typical enterprise of Liaohe Oilfield Diversified Economy Enterprises. It transformed from a collective enterprise into a limited company with staff stocks in 2002. Since then, it has achieved very good operation performances. But on the other hand, problems in systems, institutional frameworks and internal managements begin to emerge. For example, some subsidiary companies have good products , large market shares and high profits while others operate badly and earnings are less than costs; corporate governance structure needs to be perfected; effective inspiriting and restricting systems has not been established; internal controlling systems, human resources management and technology innovation system can't adapt to the rapid progress of the Company etc. .The Group can hardly make further progress if these problems were not solved appropriately.The paper intends to apply related theories and methods with modern corporate governance, inspiriting systems, corporate amalgamating and reforming, share transfer, human resources management and internal controlling to find CY Group's existing problems of modern enterprise systems. It analyses the reasons and puts forward the ameliorating measures.
