Recently food safety becomes increasingly prominent. Green food industrialization is an important exit to solve the problem. However it is urgent to study how to carry out green food industrialization and how to solve food safety during the process of green food industrialization. All of these need reasonable industrialization organization mode and management mechanisms. Focusing on green food industrialization, the paper introduces theoretical theory and combines theory with cases and demonstration by using multi-science knowledge of new institutional economics, industrial economics, world economics and management.By comparing the development and relevant study of green food industrialization abroad as well as at home and adapting advanced experience of developed countries such as the USA and Japanese, we get the way for green food industrialization which is suitable for China's national condition.Afterwards by combining several theories such as agriculture properties,"Lemon Market", transaction costs, information asymmetry and uncompleted contract the paper makes comparative analysis on the organizational mode of green food industrialization, chooses organizational mode of green food industrialization by combining actual cases and makes innovative designs bases on summarizing its course of evolution. According to the contrast theory, transaction costs and institutional change and starting from management mechanism of green food industrialization, the paper designs the mechanism of green food industrialization to ensure its steady development from several aspects such as safeguard mechanism, quality-monitor mechanism, division of labor cooperation mechanism and supply chain mechanism.At last, the paper proposes policy suggestions on the macroeconomic level and the microeconomic level that the nation should shape the realization of green food industrialization and quality and safety of food to lead healthy development of China's greed food industry, including supporting leading enterprises and corporative organizations, improving distribution mechanism of agricultural input, permitting and encouraging innovations, reinforcing quality supervision and technology popularization, promoting docking of supply chain, optimizing industrial environment and issuing preferential policies.
