PPP(Public Private Partnership),is a new cooperation mode between the public sector and private investor. The successful use of PPP depends on the interest coordination of the stakeholders.From the perspective of incentive, this paper took the interest distribution as one way to solute the interest conflicts between the public sector and private investor。Through the interest coordination in pre-project stage, both the public sector and private investor attempt to achieve a more reasonable interest distribution based on the resources to invest and the risk share. It can be treated as the motive force of positive cooperation which enforces the stakeholders to take an active part in PPP in order to achieve both the general managerial targets and the own maximum of the participants'interests.Based on the analysis of correlation theory, this research analyzed the essence and the financing structure of PPP clearly, and pointed out the contractual relationship and operation procedure through the comparison with BOT. Meanwhile, this research put forward fellowship concept as the premise of interest distribution analysis. Explained the necessity of Public-private interest coordination through"prisoner dilemma"analysis, and then build up profit distribution model taking risk into account.Around the core stakeholders'interest distribution, the author hold that PPP is a dynamic implementation process, so the interest distribution need to be adjust continuously and appropriately with the support of multi-stakeholder in a more sound macroeconomic policy environment.
