The M&A and R&I play more and more important roles during the development of enterprises. It can quickly expand the industry, rationally configure, dispose and activate the property, adjust and optimize industrial structure, form and enhance international core competitive power. Will the country's industrial structure adjusting and enterprise competition intensifying, more and more enterprises in China are beginning to use this form of low-cost expansion. However, compared with western countries, China's research and operation in M&A is still at the initial stage, so how to improve the success rate of M&A has become an urgent major issues to study and solve.Citing Haier Group as an example, through the combination way of theoretical research and the case analysis, this essay made a demonstration study for the design of M&A and H&I ,as well as the integration of the Group through the angle of the target enterprise, which provided some references to the private owned electronic enterprises. The essay explain the aim and principia, reason and strategy, merging and reconstructing mode and basic venture theory on the basis of discussing the theory of M&A and R&I, then summarize the domestic and foreign researching status. Circumfusing the Haier's strategic purpose and its trouble of merging, this paper researched the solving way and suggested some idiographic measure on five aspect: stratagem, operational management, culture, organizational structure and personnel management.
