Enterprises performance assessment is not only an outcome of market economy development on certain stage, but also a scientific method and an effective tool to supervise the enterprises for nations with mature market economy. Enterprises performance evaluation at home and abroad achieve the large research results from the financial and maximizing shareholders value point of view, but it is thin on the ground to explore in depth assessment of enterprise performance starting with stakeholders'benefits win-win and maximize and arming for ensuring stakeholders'benefits. In practice enterprise performance is seen as enterprise executives'performance usually, it is inconsistent with the executives'contribution to enterprise performance impacting the successful application of executive incentive mechanisms and leading to supervision unscientific and nonstandard. Under such circumstances, how to establish an assessment system of enterprise performance and executives'performance basing on stakeholder theory that fits ours National Conditions plays especially important practical significance for enhancing the health of our enterprises, improving the management level and standing out the superiority of socialism market economy .This paper studies China's enterprises performance evaluation from the stakeholders'perspective and builds an assessment system of enterprise performance oriented stakeholders'benefits win-win and maximizes, then goes into the enterprise executives'performance evaluation basing on enterprise performance assessment result. The main work of the paper includes following:First of all, on the basis of reading relative literatures, delved into the domestic and foreign theory of stakeholders, conducted a comparative study between stakeholder theory and mainstream theory of the firm, defined the concept of stakeholder referred in this article and related concepts, classified stakeholders into seven major types of shareholders, creditors, employees, suppliers, customers, government, society according to stakeholders'character and possessive resources.Secondly, probed into the basic concepts and principles of the performance evaluation of enterprises, deemed the viewpoint of maximizing shareholders value of the traditional firm theory be unsuited to conditions in China, put forward a new idea of enterprise performance evaluation that enterprise performance optimization is stakeholders'benefits win-win and maximizes. Thirdly, learned from the existing research results of enterprise performance assessment and based on stakeholder theory, ascertained the eight elements of enterprise performance evaluation system according to system theory method, built the enterprise performance evaluation system that be aim for stakeholders'benefits win-win and maximizes. Focus on the index system of the enterprise performance evaluation and on its meaning.Then, put forward the enterprise performance and the performance of executives is highly relevant, but the enterprise performance is not equal to the performance of enterprise executives. Used skillfully BC2 model of DEA and the simple linear model to remove the influence of the quality of enterprise resource and the external environmental factors that executives of enterprise can not control in order to measuring truly the executives'capability and the degree of effective endeavor for the contribution to enterprise performance. The groundbreaking study about the assessment model of enterprise executives'performance was conducted to provide a new idea and method.Finally, made a conclusion of the text and put forward the lack of the study and the proposals for further research.
