With high speed development in economy of our country, the situation of insufficient infrastructures such as highways is coming to be more and more serious. The most direct inhibiting factor that holds up highway project construction is shortage of fund. Whereas, as a bran-new fund-accommodating way which is applicable to infrastructure construction,Build-Operate-Transfer (BOT) mode fastens the steps of above-mentioned project construction. On the other hand, wide fields involved, large amount fund needed, long implement period lasted as well as the specialty of "concession, build, operation, transfer", the BOT mode confront more risks far from other contracting mode.Through risk identification and qualitative analysis on Dezhou to Shangqiu expressway, the article found it does exit risks such as politics, society, entironment, laws, traffic volume, finance, market and force majeure, etc. These risks may have influence on the project's total investment, charge income and operation cost.On the basis of risk identification and qualitative analysis, sensitivity analysis was used to works out the total influence degree, sensitivity and anti-risk ability.Besides, probabilistic method was used to account the rate of lose that may resulted from the above-mentioned factors.In the end, aiming at how to lower risk degree, avoid risks and reduce lose, some replying strategies were put forward in the article.
