Non-governmental Enterprises (NGEs) have becoming one of the pillars of China's national economy development through 30 years of vigorous development. However, there are a lot of problems in the course of its development. And at present, some scholars have made study and discussions about the expanding of NGEs. Basically, these studies are only theoretical. And the research literatures on the size of NGEs cannot be found easily. Competing with the state-owned capital and foreign capital, the only way is to be bigger and stronger. Therefore the contents of this paper are the factors which restrict the enlargement of NGEs. The constraint factors are classified according to the internal and external factors by analyzing the reason and ways of the changes of the NGEs'size.In addition , this paper apply the entropy theory to the scale development of NGEs at the first time. First, the entropy model on the scale development of NGEs is proposed. and then the entropy flow analysis about the factors constraint scale expanding of NGEs based on the model is on made. Secondly, this paper begins empirical analysis. And establish the indicator system of factors which restrict enterprise system scale entropy. So, the entrepreneurs can get the theoretical and practical evidence through calculating the enterprise scale entropy flow value causing by impact factors. Found by calculating that with the expansion of enterprise scale, the entropy is always increase, which means enterprise system is moving towards disorder and chaos gradually. In order to maintain the sustainable extension of NGEs, the enterprise system needs to absorb the negative entropy flow from outside world to offset the internal entropy. The results can be used to analyze the suitability of the scale expansion strategy, and make clear the impact factors which constraint the development of scale, and reference solutions for the NGEs.
