With the deepening of reform and opening-up, China's private enterprises showing a good momentum of rapid development, playing an increasingly important role in sustainable economic development. In today's era of knowledge economy, knowledge has become"core factors of production", knowledge workers become"the most valuable talent". It is necessary that private enterprises must pay attention to productivity of knowledge and knowledge workers. Because knowledge workers maintain independence, take the self- value realization and like mobiling strongly and so on, it is difficult for the enterprise and knowledge workers to maintain relations only depending on the Traditional labor contract .It is necessary to apply the concept of psychological contract, concern about the psychological expectations of knowledge workers, and finally cause them growing and developing together.On the basis of reviewing the domestic and international existing research results, this research uses question survey, factor analysis, and discrepancy analysis and means comparison analysis to research psychological contract of knowledge workers in private enterprises. The results of the empirical study show that:①There are two aspects of psychological contract structure of knowledge workers in Chinese private enterprises. They are the organizational and the employees'obligations. And the organizational obligations contain four factors, which are salary treatment, development opportunity, the environment support, and the standard system. The employees'obligations contain three factors, which are career development, institutional environment and professional accomplishment. The internal structure of psychological contract is non-symmetry, it is extend of conclusion in formerly the two-dimensional structure or in the three dimensional structure foundations.②Individual status just like gender, age, work experience, marital status, etc, will affect the cognizance of knowledge workers to psychological contract. The demands to responsibility of organizational and the employees'obligations change with individual status.③Knowledge workers care more about development opportunity comparing to non-knowledge workers, the latter care more about factors connected with economy. They all care about factors of institutional environment in private enterprises.④In the context of different organizations, the cognizance of psychological contract of knowledge workers is different. In the state-owned enterprises, knowledge workers care more about salary treatment and the environment support. In comparison, in private enterprises, knowledge workers care more about their own development and the normative of enterprise management.According to research result of demonstration, the research proposed the knowledge workers'management strategy which include salary strategy, fair system standard, good humanities environment support, training and career development plan, and pay attention to the dynamic management of psychological contract, so as to set up, maintain and develop psychological contract well between private enterprises and knowledge workers, finally achieve common development.
