Research On The Perfect Of The Board Of Dispatched Supervisors System Of Stated-owned Enterprises

With the practice and reformation of the management and supervision of state-owned assets with Chinese characteristic, the research on corporate governance has advanced ceaselessly. Establishing and perfecting corporate governance structure is a key of deepening the reformation of state-owned assets. The board of dispatched supervisors can balance and restrict the board of directors and managers. But the board of diapatched supervisors system is not complete, there are many problems such as the weakening of the functions of the board of supervisors, the imperfect incentives assessment system etc.The paper aims to perfect the board of dispatched supervisors, and comprehensively analyse the theoretical basis, governance performance, the necessity of the board of dispatched supervisors. Through comparative anslysis and case analysis, the paper studies the governance pattern of board of supervisors at home and abroad. At the same time, the paper introduces the governance status quo of board of dispatched supervisors in our country, and makes the in-depth analysis the existing problem of the board of supervisors system. Furthermore, the paper puts forward some constructive suggestions including strengthening supervisory functions, integrating the supervision resources, increasing education and training, perfecting the evaluation mechanism.The Chapter one of the paper points out the background, method and prospect of research; Chapter Two is Literature Review, analysing the theoretical basis, corporate governance,governance performance, the governance status quo of foreign board of supervisors, significance for reference; Chapter Three summarizes the governance status quo of board of dispatched supervisors in our country including dispatched basis, personnel, work pattern and duties; Chapter Four brings forward the board of dispatched supervisors should correctly handle the relations with SASAC( State-owned Assets Supervision and Commission ) and board of directors; Chapter Five deeply analyzes eight aspects of the problems and the reasons of our board of supervisors system; Chapter Six puts forward the corresponding measures.This paper systematically reviews the establishing and perfecting of the board of dispatched supervisors, taking 34 state-owned enterprises that SASAC perform investor duties as example. By the extensive collection of first-hand information, combining the author's own work practices, the paper demonstrates the importance of the necessity of establishing the board of dispatched supervisors. Focusing on the problems of the establishment of board of supervisors, the paper brings forward the practical suggestions, which have some guiding significance and reference value in perfecting the board of supervisors system of state-owned enterprises.
