The construction of urban transit transportation has developed fast from 1990s in China. Many big cities rose construction boom in the area of urban transit transportation. It made the construction of urban transit transportation becoming the biggest infrastructure projects. As we known the system of urban transit transportation has many advantages such as big bearing, fast, accurate, safe, comfort, less pollution, energy saving and so on. However, it also has many other disadvantages such as huge investment, long construction period, complex professional technique etc. All these disadvantages restrict the development of urban transit construction.In the initial period of urban transit construction in our country, our government expensed most costs of construction and operating. There was no doubt that it gave great burden to our government. Therefore it is very important to find a reasonable method of financing and operating in the urban transit development.This dissertation starts from the features of project financing, and then gives further research on the features of BOT project financing and operating. In considering premise of the risk of BOT project financing and operating, with the actual situation of objective fasts in the urban transit construction in Shenzhen in China, it would be concluded: In order to exploit the maximum external benefit the urban transit construction in Shenzhen should develop land along jointly, should connect BOST method with BDOT method to keep the steady development and convergence. Meanwhile it should encourage investors who have great investing ability and private capital join in the urban transit construction in Shenzhen in the form of subscription or joint venture.
