M&A is one of the most important events in the capital market, it mostly reflects the efficiency of the market operating. In the emerging transition markets, the abilities of enterprises to adapt to market economy, long term stale operation, rigorous financial management, long-term R&D and upgrading of products are not good enough. How to capitalize upon M&A to realize business restructuring, update the upon M&A to realize business, update the products and services offered, enhance corporate governance, build confidence in the capital market and attract investors has emerged as a growing concern for investors,.the management and scholars.In recent years, China's M&A activities of companies showed the characteristics of upward trend year after year and wide range of areas with the large-scale foreign investment and private capital involved. It makes the theories of M&A having a large progress both in the theories and in actual operation. But the listed companies in China M & A behavior and its effects research has to be further expanded.First, scale of this article as follows:In the first chapter, the research background, research aims to study the significance of the main research and research ideas and methods were reviewed.In the second chapter, firstly introduced the basic theory of mergers and acquisitions, including the concept of mergers and acquisitions, and the types of mergers and acquisitions, and then introduced the dynamic domestic and foreign mergers and acquisitions, and corporate mergers and acquisitions because of theoretical research in decision-making basis, then introduced the effects of mergers and acquisitions analysis, including more efficient effect, effect of enterprise development, market share effect, helping to resolve agency problems, technological progress and economic growth effects of effects of mergers and acquisitions Finally the performance of basic analysis methods, including event research method, accounting research methods, and research methodology of this article.In the third chapter, the historical evolution of domestic and international M&A process was introduced, firstly introduced Western countries, mergers and acquisitions, and then the course of mergers and acquisitions in China.In the forth chapter, first of all is to introduce the sample selection and data sources, followed by the selection of financial indicators, and then build models and data processing, including the introduction of factor analysis and factor analysis of each index of Principles, followed by empirical analysis, and finally the empirical analysis results.In the fifth chapter, introducing the basic conclusions of this analysis and policy recommendations, and the weakness and innovation in this article.
