Enterprises can form specific and unique core competence of technology through the accumulation of knowledge and skills during their past development and producing activities. And the further development of competence of enterprises will be constrained by knowledge endow of enterprises. General studies on enterprise resource-based theory of cooperation and innovation often just stressed that the complementarity of resources which are in possession of different enterprises are the key causes of cooperation innovation among enterprises. In this paper, the motivation of enterprises to participate in cooperation innovation was divided into producing motivation and learning motivation. Producing motivation reflects the needs of enterprises to increase productivity now, and the learning motivation reflects the incentives of enterprises to enhance their core competence of technology and improve the capacity of enterprise in the future. Based on these above theories, this paper analyzes the organization pattern of cooperative innovation. Through cooperation, enterprises can improve their producing efficiency and acquire the knowledge they haven't own. But at the same time, enterprises face the leakage of knowledge, which in the long run will damage their core competence. So enterprises will treat different knowledge that they have differently, and this is the core assumption of this article. Enterprises often divide the knowledge they possessed into some subfields and make decisions on innovation on the base of nature of these subfields. Knowledge is heterogeneous and so do the enterprise. So enterprise may not take the same attitude toward different cooperation relationship. This is the theory basis of later game model of this article. In this paper, a two-stage game model of collaborative innovation was build to analyze the selection of enterprise in the case of the enterprise treat different knowledge field separately. This paper also analyzes the transaction cost that the companies may face in searching of partners and proposed recommendations on government's intervention policy which can encourage cooperation innovation among enterprise.
