It is a "knowledge-driven" economy era today. Talents are the most important resources of company. Top executives are the talents with lots of managerial knowledge and experience. They play key role in the operating and development of a company and are becoming the focus of competition. In our country, the problem of motivating top executives in public company is always the focus of the society. In recent years, the government has enhanced the governance of this problem with a series of laws and regulations coming out. And so a great of performances have been achieved in theory and practice. Few are done in Northeast Region while.The study is on the foundation of relative research fruit in and outside and the facts of top executive motivation. After analyzing the decisive factors of Top executive's compensations in public company, the paper brings eight hypotheses and establishing the model of compensation, and then data are use from public companies in year of 2004 and 2005 in Northeast Region to test for the model of compensation, finally some advices are made to promote the motivating mechanism on the result of demonstration and the characteristic in Northeast Region.First chapter introduces the background, significance, content, mentality, characteristics and limitations of the article and correlative literatures in and out. Second chapter first carries on the limitation to the correlative concepts, and then elaborates the salary functions and the theory of salary influence factors. Third chapter elaborated external environment of the northeast region and characteristics of top executive's compensations using of correlative theory and consideration of the northeast region after massive readings. Fourth chapter proposes the supposition based on the front article research and draws the real diagnosis conclusions through the descriptive analysis, the relevant analysis and the regression analysis, and compares them with that based on the companies go on the market in the whole nation. Fifth chapter obtains the conclusions, and then proposes the suggestions and questions need further to study.
