Great changes have taken place in the human soeiety since the beginning of the 21st century. International competition will be more fierce increasingly. A great deal of foreign advanced business enterprise enter the market of our country, putting forward the huge challenge to the Chinese business enterprises, especially the state-owned enterprises. As an important part of the business enterprise's human resource,the professional managers conduct strategic establishment and carries it. They are the important source and basic assurances for the modern business enterprise's keeping the competitive advantage. In Sichuan province which lies in the flourishing regions of western china, state-owned business enterprise has the prominent position in the region economy development. In the recent years, state-owned business of Sichuan province have a large gap in management concepts, methods and reform ideas. So finding out the problem of the western China state-owned business enterprise's performance appraisal and pay incentives, analyzing its reasons and providing some practicable measures according to the theories and experiences, is the aim of this study. This paper is divided into five chapters:ChapterⅠwas to introduce the background mainly. Introducing the topics of the background at the same time, the research's objectives, approaches and innovative ideas as well as research points are described.ChapterⅡwas a literature review of this study. Firstly, some relevant concepts about professional manager, performance appraisal and pay incentives are conduct a preliminary analysis; Secondly, give an overview of relevant theories and eventually focuses on the performance appraisal and pay incentives at home and abroad Research and applied research.ChapterⅢanalyzed the current situation of professional managers' performance appraisal and pay incentives in state-owned enterprises in Sichuan through data analysis. And conclud the professional managers of education, sex ratio, age distribution, salary levels and staffing of several aspects.ChapterⅣcarried out a statistical analysis of the questionnaire and interviews, obtained the problems of professional managers'performance appraisal and pay incentive in Sichuan, and analyze the reasons to these problems.ChapterⅤwas thinking a reform way of professional managers'performance appraisal and pay incentives from state-owned enterprises in Sichuan. In this section, this paper started in two parts from the performance appraisal and pay incentives, and proposed a targeted reform ideas.
