With the rapid development of the Chinese economy in transition and remove ,people pay more attention to the motivation and control system-ESOP. Although the ESOP and its patterns become matured with the development in half a century in western countries, Chinese enterprises has just started the experiment unit in recent 10 years .As the differences between China and the west in political system, economic system, economic development level and the other respects, we couldn't just copy them. It is not the need for enterprise development, but also for the improvement of our economic level to fit the state-run enterprises' reform to develop the ESOP to establish and perfect the Chinese ESO patterns.This dissertation does the comprehensive analysis and summary in the matured western ESO system and its patterns, and then find its basic principles and marrows . It analyses deeply in the influence of the Chinese enterprises property rights system development with the benefit of ESO system and its patterns, which is likely to study the ESOP in the listed companies with the modern enterprise system.Through the analysis and research of the real cases in the typical companies ,this dissertation will find the successful ESO patterns in the listed companies.
