At present, China's software outsourcing has become an important direction of software industry. China's software enterprises to undertake international software outsourcing, will benefit the growth of sofatware enterprises, and promote software talent employment, as well as the strengthening of the software innovation capability from the long-term perspective. With China's software outsourcing business experiencing of a gradual increase in the software enterprises in the face of greater market opportunities also face many challenges. How to deal with the strong international competition in the software business, how to improve the software value chain participation and participation levels, and how to achieve a long-term strategic cooperation relation with clients are vertical. On all of these issues, how to establishm an effective vendor-client relationship with mutual trust, especially for undertaking software outsourcing from Japan clients,are critical to the success of software outsourcing.China's participation in international software cooperation first come with Japan clients, China enterprises have natural advantages in terms of geographic location, cultural background, business practices, and other aspects when undertakeing software outsourcing business with Japan clients. The academic researches of outsourcing are mainly in the filed of human resources outsourcing, IT outsourcing, and other, with the approach of case study. The empirical studies of software outsourcing are relatively rarely. The study of the key factors which may affect the establishment and maintaining of the trust and their impact mechanism in the software outsourcing from Japan clients has a theoretical and practical significance. Based on the literature review, trust was divided into two types which are relationship of trust and calculate. With the existing mature questionaires and interviews the survey questionnaire was designed. The questionnaire survey has been conducted using various channels to Japan clients in software outsourcing and a lot of valuable data was collected. SPSS13.0 was used for statistical data as an alysis tools in the descriptive statistical analysis, correlation analysis, regression analysis and analysis of variance, and finally the following conclusions are reached.First conclusion of the study is that in the software outsourcing relationship with Japanese clients the principal factors which effect calculate trust ara contracts integrity, as well as the reputation and the ability of partners from the client perspective (Japan).The second conclusion of the study is that in the software outsourcing relationship with Japanese clients the principal factors which effect calculate trust ara mutally communication, integrity contracts, as well as the reputation and the ability of partners from the client perspective (Japan).The third conclusion of the study is that within China-Japan software outsourcing relationship, the relationship of trust and calculate are intermediary variables for the success of outsourcing project.At the same time, this thesis provided some corresponding proposales for China's software outsourcing enterprises based on the empirical study, and also pointed out the direction of the follow-up study.
