As one of the three business molds to apply foreign invest in China in its opening and reforming period, Joint-ventures make much contributions to the high-speed economics developing of China. And now, with China jointing into WTO, the situation in the market and society is much differenced from that of 20 years ago in China. How we can make the Joint-ventures develop better or how to avoid any overall failure of failing to meet their target? It becomes questiuons and concerning focus of many scholars and peoples of enterprise operating.In the process of Joint-ventures developing, the amalgamation is the most important change to affect the Joint-venture's success. This study analyse the amalgamation process using the evolution theory developed in 1980's. In this study, we find the process of forming an Joint-venture is a dynamic process. The organization experienced three states: state of before-Joint-venture, staes of confusion transition, and then the final state-success or failure. More factors impact the Joint-ventures developing through coercive amalgamation and natural amalgamation. The results are physical and chemical amalgamation.Based on the research of former scholars, and conbined with some actual cases, this paper studys nine factors from the philosophy, the rules in management and the performance of the company. This paper designs the research questionnaire using 7 likert Scales ways and get the sample data. After validated the data using SPSS software, the conclusion of this paper is as below:(1)The strong company culture, more inefficient inspire mechanism and goodfuture of its industry will enhance company philosophy, and facilitate theJoint-venture's amalgamation ;(2)The self-study ability of employee, the change of behavior and the trustcomes from the mother companys will enhance company's rules, and facilitatethe Joint-ventures's amalgamation;(3)The stabilizations of key persons of Joint-ventures, the improvement ofmanagement and the products will improve the Joint-venture's performance,and facilitate the Joint-venture's amalgamation.The nine factors have difference weightiness to impact amalgamation process. Based on the actual data Xij from questionnaire (i,j is the correlated number) and the weightiness Cij, the evaluation of Joint-venture amalgamation is A means the evaluation data of Joint-venture amalgamation. If A>0, that means the amalgamation is successful and the Joint-venture is better than before.
