In modern enterprises, human capital has become a major driving force and a decisive factor of enterprise development and economic growth. In order to play the clearer and better role of human capital, the paper researches and defines the human capital's property rights, and, accordingly formulate corresponding enterprise system and institutional arrangements in order to maximize human capital role. To fully tap the value of human capital, enterprises must establish a sound mechanism of motivation, and will lay a solid foundation for their survival and development. How to give incentives to employees to maximize their talents is how to conduct effective performance evaluations. Therefore, enterprises should learn to use the performance evaluation as a tool to maximize staff's human capital value, to increase their operational efficiency. Through the study of M Company, the author analyzes the company's existing performance evaluation system and points out the problems and their causes, and according to business practices, regulates relatively complete, systematic, practical, applicable evaluation system and institutional arrangements, which has enlightenments for similar private financial investment enterprises and even small and medium-sized private enterprises, and provides examples for the application of human capital theory and property rights in private enterprises.
