Venture capital is important support system of knowledge economy, high tech achievement city site and industrial. In order to reduce the investment risk, we must estimate the risk and the benefit before investment accurately, and manage it effectively after investment. Therefore, it is necessary to establish a set of appraisal system, apply science method to evaluate the risk and the benefit of the venture capital project, and which provide the basis for the venture capital organization to make decision.The thesis begins with the general situation of evaluation criteria, evaluation indicators and evaluation methods of Venture Capital project at home and abroad. Then, the paper analysis the Venture Capital and the theory related to the Venture Capital project. On this basis, the paper offers the new way to evaluate the risk and profit.It begins with the risk quantitative assessment for Venture Capital. On the basis of analyzing the index system of risk factors at home and abroad, the paper establishes the index system of risk assessment applied to China's national conditions, that is, establishing the index system form the external environment, the company macroeconomic environment, corporate governance, company operation in five areas, including 20 secondary indicators and 10 three-tier indicators. Then it builds a venture capital investment project risk assessment model on Fuzzy Mathematics integrated method and solves the problem of project risk assessment.Meanwhile, this paper uses the main-factor analysis method to evaluate the benefit of venture capital investment project from five indexes, which also solves the problem of the assessment of project benefit.
