This article take the object of study by this case which China national travel service(HK) group corporation purchases and conformity China travel service group, through researching enterprise merger and acquisition theory, Analyze the question which the enterprise merger and acquisition faces after the conformity. And simultaneously analyzed the travel agency industry characteristic and the existence question also, proposed that the industry lateral merger and acquisition formalization management is the most plan, enterprise will be strongly & greatly with scientific strategic conformity.Using the PEST theory and five strength model, China national travel service (HK) group travel agency plate (called for short :Hong Kong travel agency in this paper) be analyzed the merger and acquisition conformity' s environment, with the SWOT model analyzed Hong Kong travel agency merger and acquisition's superior inferiority as well as the opportunity, with six strength interaction model outlined the conformity' s the strategic localization, the market localization. Proposed explicitly: In the strategic aspect, Hong Kong travel agency must be the traveling wholesales the operator , should do something that it should do. should establish wholesale and retail sales vertical division of system; In the tactical aspect, should display in fully it' s overall superiority, promotes each traveling essential factor combat teamwork ability; In the organization construction aspect, should establish company operation management structure which suits the tourist service value chain' s traveling wholesaler " mother and child" (or total score), realizes travel agency service assembly line-like standardization, the integration and the specialized operation; In the management aspect, should devote in forms five kind of capital essential factor management and operation ability, like the human capital, the technical capital, the organization capital, the customer capital and social capital; In the productivity aspect, should raise the traveling wholesale operation three kind of core competencies, product innovation ability, industrial integration ability and brand operation ability.
