Since 1970s, The Yellow Emperor's Four Canons, a book made by silk, was unearthed from tombs at Mawangdui in Changsha, the study on Yellow Emperor and Lao zi is approaching the most pleasant stage. However there are still a lot of pending questions to be seen out. This artiele focuses on the thought of Yellow Emperor and Lao Zi in the era of the Spring and Autumn Period and the Warring States Period. It begins with the origin of this thought and then further makes clear the diffuseness of the thought of Yellow Emperor and Lao Zi as a macro issue of Han dynasty in Pre-Qin period.The thought of Yellow Emperor and Lao Zi includes both the thoughts of Yellow Emperor and those of Lao Zi. The era of the Spring and Autumn Period and the Warring States Period give birth to and develop them. In the contending of a hundred schools of thoughts, the thought of Yellow Emperor and Lao Zi showed itself due to its advantage of taking in other schools' merits and the theories of Dao and Qi that adapted themselves to the requirement of era, and became the real macro issue in all the schools. After "Rejecting the other schools, respecting singly Confucians and Mencians", which was raised by the Emperor Wu in Han Dynasty, it still exerted a subtle and deep influence on the Chinese ancient academic and political thoughts.
