A Study On The Construction Of Corporate Governance Structure Of Public Welfare Institutions

In recent years, public institutions have been in the process of reform and development, our country successively implement the decentralization of power, such as separating the functions of government, government regulation separate from management and many other reform measures. However, the reform has made some progress, there are still unclear function orientation, irrational allocation of resources and other issues on the whole. The party’s seventeen second plenary session clearly put forward the classification reform of public institutions, and made important expositions to improve the corporate governance of public welfare institutions. Corporate governance is a system organized for the purpose of governance, to standardize owners, operators and other stakeholders. Public welfare institutions set up corporate governance which can effectively solve the problems existing in the old management system. Currently, that is still in the pilot phase in china, this paper mainly explores the corporate governance on theory and practice of public welfare institutions.This article firstly illustrates the related concepts of corporate governance of public welfare institutions. And give a theoretical analysis on corporate governance of public welfare institutions by such theories, the principal-agent theory, governance theory and stakeholder theory. From the view of the pilot situation of welfare institutions corporate governance, by analyzing the pilot of Guangdong, Shandong, Zhejiang and Chongqing, aims to put forward the problems and reasons of public welfare institutions corporate governance. In addition, by drawing on the experience of corporate governance of these three developed countries, Britain, American and Germany, try to put forward appropriate countermeasures and suggestions to improve public welfare institutions of corporate governance in our country.
