The Study On Corporative Governance Structure Of Chinese Public Institution

Corporative governance structure of Chinese public institution is argued about in this dissertation. As a concept with characteristic of Chinese, the public institution is an important component in the social organization of our country. However, most public institutions are set up in planned economy period. With the deepening of the reform, the drawback of the planned economy system is more and more obvious, such as the government affairs and enterprise's thing function being not divided, setting up repeatedly, the socialized degree being low, the financial burden being heavy. The goal of reform of Chinese public institution is setting up a modern system which is suitable for the socialist market economy system and meets public service's needs. The relationship between government and the public institutions has been changing in the process of social transformation, which challenges to the traditional pattern of public institution administration and the functions of government.Actually, according to the series of policies and laws issued, we know that Chinese government is attempting to adjust the relationship between government and public institutions after reform and opening up to the word. From the measures taken above, we know that administrative pattern of the government to public institutions doesn't change fundamentally. In essence, such pattern is still a administrative pattern, which can't resolve the problems of public institutions. Therefore, the point is to transform such pattern for the corporate governance. Based on the purpose of such reform, this dissertation mainly studies how administrative system of public institutions is changed from administrative pattern to corporate governance.Governance structure of public institution corporation is the core problem, which needs to regulate rights of stakeholders and normalize institution system. Framework of governance structure can be analyzed from the following two aspects: internal governance and external governance of public institution. Furthermore, by comparison with western governance structure of no-profit institution, the governance structure, which is legal, plural, and changeable, has been influenced by many factors. As a result, we need to perfect governance structure of our Chinese public institution from law framework, governance body and governance mechanism.Governance structure is not only the process of regulation of stakeholders' right, but also balance of powers. Then multiple channels can be adopted in corporation governance including legality balance, right balance, power balance and responsibility balance. The purpose of balance is to guarantee the dependent status of public institution corporation.Following the observation on its basic theories in economics and law and the latest corporative governance structure theory in recent years, we explore the feasibility to use these theories for reference in managing the public institution. Then we present the conceptual explanation of corporative governance internal organizations and their structure, i.e. the arrangement of the setting of the disposition of the rights, institutional check and balance and the encouragement, of the relationship between arrangement of the public institution and the external relevant units in order to realize the goal of certain institution of the property right. Meanwhile, we believe that public institution corporation is different from company, constructing the corporative governance structure is restricted by various factors, such as certain social environment, time and special background and the real condition of the public institution, etc. It integrates the uniformity and the variety, the common characteristics and the individual characteristics.The thesis draws reference from the theory and method such as political science, administration, economics, etc, and adopting research approaches such as document, comparative, qualitative and quantitative analysis ,etc.
