Information technology revolution centered on Internet is the combination of computer and telecommunication technology. It increasingly influences the way we work and peoples' live style, and further more, it also deeply affects politics economy and society worldwide. Computer and network technology has become the symbol of the fourth industry revolution. With its two-way traffic, all day and global advantage, it has lowered the cost of economy and gradually become the new arena of economic activities. With the push of American economy, the world economy inclines to networklization and Internetlization, the so-called Net-Economy fisrt appears and developes in USA. As a developing country, how to use the experiences of America when China develops it's net-economy for reference is an important research problem. By employing the method of comparative analyse, the author portrays the favoralbe factors that help develop American net-economy, and also by reviewing the barriers to China's development of net-economy, taking the actual situations of China's government, banks, enterprises and personal into consideration, the author puts forward some solutions and suggestion.The paper consists of four parts. First, which discusses some important issues relating to net-economy, introduces the origin and development of net-economy and also defines the net-economy and shows its characteristic. Then it addresses the hot issue of whether the net-economy is bubble economy.The former Internet, which was called APANet, is developed by the National Defense Department of US in order to eliminate the frangibility of the former network. With the advance of technology, people have slowly used the Internet to transfer information and thus found its usage in business. Internet has become the important infrastructure of USA and other developed countries. The net-economy is the product of economy Internetlization.The net-economy mentioned in this paper is the net-economy on a broad sense. At the first stage of the development, net-economy surely produces some bubbles, but eventually it is not bubble economy.Then the author analyses the factors affecting the development of American net-economy in details. The main reasons can be summarized as the following points. (1) the strong support from the economic policies the government stipulated.(2)the excellent growing emvironment for small enterprises.(3)the unique social and cultural emvironment of American.(4)the support from the sound venture investment system and the second-board securities market.(5)the accommodation of the laws of intellectul property rights, and the perfecting electronic commerce codes.(6)other factors involving transportation, advanced information infrastructure,etc.After these, the author briefly reviews the developing situation of China's Internet and net-economy. It summerizes the barriers to China's net-economy. (1) the reechy moral order of market economy. (2)the poor law emvironment, especially on protecting intellectual property rights and electronic commerce.(3)the barrier from the traditianal Chinese culture.(4)the inperfect venture investment system and securities market.(5)other barriers resulting from the poor information infrastracture, backard transportation,etc.At the last part of the paper, according to the compare between China and US, the author puts forward some countermeasures and suggestions. For the government, the suggestions are the following points: (1) the current focus of the economic work is traditional modernization of economy. (2) the government should ascertain the industries which have advantages. (3) breaking the monopoly and creating a fair market competition environment.(4)rebuilding the market moral order and credit system.(5)strengthening law construction,especially the law relating to eletronic commerce.(6)moderrately loosening fanancial control, establishing the second-board securities market.(7)strengthening the education of computer brains.(8)increasing the aware of Internet among ordinary people.For th...
