M&A(merger and acquisition) and Assets Restructuring have become the important artifice to the reform of enterprise in China. The reporting of the 15th congress of CCP fully affirms the function of M&A. M&A serve for the stratagem of capital management to the corporation. At the same time, M&A can speed the concentration of the capital, and save time for training of the talent, market developing , exploiting of the technology, etc. It also can help the enterprise to enlarge dimensions, and adequately enjoy the benefit of sweeping economy. So far, there are lots of academic composing to talk about M&A and Assets Restructuring . This Literature chiefly discusses and talks about the macro questions. My discourse basically clarifies the fundament of Assets Restructuring from topical phenomenon. At time we canvass the assets restructuring of joint-stock company, we also discuss the M&A of collective economy. In focus we argument about the Assets Restructuring of "Tiange Group". We want to bring forward some method to solve these problems. This part also deals with the deep questions about Management Restructuring,Culture Restructuring and financial Restructuring.The second part mainly discusses the outstanding problem in the action of M&A and assets restructuring of collective economy. The slurring property right is the obstacles for the collective economy to stride forward to the modern management system. We are short of corresponding lows. The Labor Union has no any power. There I indicate that we can not sacrifice the profit of our workers in the reform of the enterprise.The third part talks about the process of the assets restructuring of "Tiange Group" recount the The causes for recomposing of "Tiange Group" ——its disordered management, and its' wrong strategic decision-making.This part involved three questions:(1)neglect of the power of worker in the reform;(2)ignorance of the value of the trade name;(3)how to arrange the employees when the recombination happens.
