This thesis analyzes the situation and problems on the appointment encouragement and motivation for the managers of the state-owned enterprises. And it tries to find solutions so as to help the enterprises enhance the competitiveness. The success of an enterprise relates to the external environment, and the quality of the enterprises?managing staff. After many years?reforms of the state-owned enterprises, some problems have been solved, but till now , there is still an important problem not solved, that is the appointment , encouragement and motivation for the state-owned enterprises?managers. Experience has proved that the lack of encouragement and motivation is the main reason affecting the managers to work harder. The article analyzes the present situation of the appointment, encouragement and motivation for managers of the state-owned enterprises. There are many problems in state-owned enterprises at present. To solve these problems, the thesis poses several countermeasures, such as lowering the proportion of state-owned shares, the government not disturbing the operation of the enterprises, constructing newly model legal structure, and pushing forward professional manager system. Giving a brief introduction to the origin of the professional manager system and its development abroad, the thesis analyzes the present situation in China, lists the quality that the professional manager should have, and analyzes the conditions China should prepare for the development of such a system. It suggests to construct a professional manager market, and a relevant supervisor system. The model of encouragement and motivation can be annual salary system or executive stock options system. The thesis also introduces and analyzes the development of professional managers system in the city of Shenzhen. The thesis concludes that we should practise the professional manager system in state-owned enterprises, and make use of the talent of entrepreneur to arouse the vitality of enterprises.
