The incentive problem of the state-owned enterprise managers are the key one that the state-owned enterprise reform faces and the solution of this problem maybe is the important breakthrough point of the reform. Therefore the study of the incentive problem of the state-owned enterprise managers has important theoretical significance and practical value. The main body of the thesis sets off discussion primarily from three aspects. First, it analyses administratively the State-owned enterprise managers human nature needs and incentive factors, which becomes the basic standpoint of the incentive problem of the state-owned enterprise management. Secondly, from economics point of view, it discusses state-owned enterprise managers role orientation and some concrete incentive and restrain mechanisms for the state-owned enterprise managers, such as the state-owned enterprise governing structure, competitive selection and appointment mechanism designation mechanism, compensation mechanism, control right mechanism, reputation mechanism and market competition mechanism ect. Finally, it studies the urgency and necessity of establishing incentive system for state-owned enterprise managers and a detailed designing train of thought and incentive measures based on the first and second discussions.
