The Case Of Joint-stock Reform Of The Meishan Rolling Stock Works

Corporate system has made great contribution to our economic structural reforms. However, there're still some problems in some joint-stock companies, such as paying more attention to form rather than essence and the adaptability of corporate law and so on.The purpose of this thesis lies in an analysis of operational mechanisms and existent problems of the corporate system transform program of a state-owned enterprise, trying to program methods for settling such problems. These discourses play a positive role in raising the effectiveness of the state-owned enterprise corporate system transform and making the state-owned enterprises develop healthily.There're some logical reasoning methods used in this thesis, just as the deductive method and the introductive method. After some practical investig ation and study, I combine case analysis with theory analysis and make a synthetic analysis of the whole problem. This thesis is divided into three chapters. First we start from the current situation and problems of Meisan Vehicle Plant, and lead the result that carries out the corporate system transform which is the inevitable choice for them. Then, by analysing the reforming scheme and operative mechanism, I emphasize on concluding the problems of the enterprise and propounding methods and proposals for setting such problems. At last, I make evaluation to the reforming mode.The main content and view of this thesis are outlined as follows:Cooperate system is one of the impotent achieving forms in our public ownership. It can dispel the disadvantages thoroughly of the state-owned enterprises in a planned economic system. Nevertheless, there're still problems like paying more attention to form rather than essence which exists in some state-owned joint-stock companies, such as non-dispensability of stock right structure, the low efficiency of governance structure, not conforming with the company operation and so on.Finally the thesis comes to the major conclusion from the research of the case of Meisan Vehicle Plant and I make some suggestions:1. The formulation in the Corporate Law does not suit the railway making enterprise. The government should make special laws for them.2. State-owned holding company's efficiency is low, so the state resource should be invested in improving the outside circumstances of the enterprises.3. After the social function organization to the state-owned enterprises is stripped, there were left so many problems,as living crisis and recessive job losing.To settle such problems, on the one hand, the government needs to bear the responsibility of paying for that above-mentioned organization, and also to build up and perfect the appropriate law system. On the other hand, the staff and workers in the enterprise should give full play to their creative ability.So, in brief, carrying out corporate system transform in Meisan Vehicle Plant will have more advantages than disadvantages. In a short period of time, this may damage the benefit of the minority people in the enterprise. But if we look at the future, this can make greater benefit for all the staff and workers in the enterprise.
