Along with the establishment and development of China's socialist market economy, the reform of state-own enterprises continues deeper and China is going to join the WTO in the near future. The urgent affairs now is how to establish "a modern enterprise structure with a basic character of clear in property rights, disjunction of polities from enterprise, clear in responsibility and power and scientific management ". The only way out for the medium and small architecture planning units is to transform from a managing organization but administrated like an enterprise to a cooperation limited company according to the basic characters of a modern enterprise.This essay starts by analyzing the relations of the structure of property rights and the structure of a modern enterprise and follow by a thorough and structural study on how to establish a medium and small architecture planning unit under the modern enterprise structure. The author brought forward the following theory: by transform the medium and small architecture planning units into a share holding company, the productivity would be further liberated thereby drive the medium and small architecture planning units develop in a high speed. Which will provide them an invincible situation in the market economic competition.By designing the plan of a specific unit's structural change, the author put forward a new idea: the importance of workforce in a scientific unit such as an architecture-planning unit. He then indicated the computation of shares in the aspect of workforce as capital. The essay also referred to the implement project or withdraws of stated-own capital and the entry of shares held by the employees.
