As the research objective, the small and mid-sized enterprise law is discussed in this thesis. Starting with detailed exploration of the value of small and mid-sized enterprise law, this thesis inquires into some important legal questions about Chinese small and mid-sized enterprise law by taking over the useful experience of the corresponding law in western countries.The whole thesis consists of four parts. The first part studies on several basis theoretic questions of the small and mid-sized enterprise law. This part defines small and mid-sized enterprises (SMEs) and studies the nature and characteristics of small and mid-sized enterprise law.The second part is devoted to discuss the value of small and mid-sized enterprise law. The author elaborates the value of small and mid-sized enterprise law which agrees with the modern market economy is safety, equity and development, and then expounds the three values of small and mid-sized enterprise law.Part three mainly studies on small and mid-sized enterprise law system in western countries, taking the United States, Japan, Germany and Italy as examples and analyses the commonness of these systems.Based on part three, part four studies on the situation and innovation of the law system in China. First generalizes characteristics and situation of small and mid-sized enterprises development and evaluates historical and current law system of small and mid-sized enterprises in China. And then discusses the new value objective of Chinese small and mid-sized enterprise law and gives discussion about legislation model and framework of Chinese small and mid-sized enterprises law.
