| Small and medium-sized enterprise occupies an important place in the economy of the world, at the same time; it is an important component part of our national economy. By the end of 2000, there are more than 10millins small and medium-sized enterprises registered in the Industrial and Commercial Department, accounting for 99% of the all enterprises.60% of the industrial output value and 40% of the profit and tax payment are created by small and medium-sized enterprises. Small and medium-sized enterprises hold so much an important status, but our study about it, especially the legal problem about it is relatively late, the legislation about it is also falling behind. Our marketing economy is the economy ruled by law, how to build and complete our legislation about small and medium-sized enterprise and promote it by law is the most important thing to do. After the reformation and opening of our country, we have taken a series of policies and legislations to promote the development of small and medium-sized enterprise, the legal system of it has initially revealed. June 29, 2002, our country publishes "The People's Republic of China small and medium-sized enterprise promoted law" (hereafter refers to as "small and medium-sized enterprise promoted law"), and it begins to implement since January 1, 2003. It is an important milestone in the course of our country's economic legislation. In the course of implementation of this law, there will be some unavoidable problems. So, analyzing the significance of the law, researching its shorting and looking for the methods to perfect it is a task with very important theoretical and realistic meaning.To establish and complete the legal system of small and medium-sized enterprise, the "small and medium-sized enterprise promoted law" is far from being enough; there needs the complete networks of relevant laws and regulations to be supported. We should study how to be supported by the law, set up a relatively perfect legal system of small and medium-sized enterprise. We should formulate some laws about small and medium-sized enterprise, such as the financial system; the technical innovation and so on. Formulate local legislations about small andmedium-sized enterprise; therefore create an integrated legal system. Complete our legislations about the marketing to create a fair circumstance for small and medium-sized enterprise. What's more, we should guide and restrict the development of small and medium-sized enterprise, make it accord with the demand of the whole economic development.The article comprises of five parts altogether:Part one: We proceed with the definition of small and medium-sized enterprise at first, analyzing the different definitions of different countries all around the world. Then, analyze the standard of small and medium-sized enterprise in our country from the view of history and reality.Part two: Point out the superiority of small and medium-sized enterprise in our country, explain it's great status and function in our national economy. Farther more, the article locates some problems that small and medium-sized enterprise exists in the course of development both from the inside system and external environment condition.Part three: The third part concerns on the promoted policy and legislation about small and medium-sized enterprise all over the world. Then, compare their common ground and difference; try hard to find out some experience and lesson that suitable for referencing from it.Part four: Introduce the whole evolution of our country's policies and legal system about small and medium-sized enterprise and analyze it from two respects.
