Study Background:Recently, our country are promoting modern enterprise system energetically, it is very pivotal to set up and prefect the corporate governance system, and opt the corporate governance mode with reason. So, opting the corporate governance mode must accord to the stage and level of the economy development of our country, and use the international experience for reference, and carry out the mode which combine the internal and external control. Meanwhile, according to the different form, scale and management level of possession systems of enterprises in China, we should adopt the governance mode in point.With the open-door policy carrying out in depth and the policy evolvement of civilian economy which occupy more and more proportion in country economy, As a new organization from, the civilian enterprises will be the backbone of the economy and their management status and level will have a great impact on the development of the economy. Therefore, it's very important to study the corporate governance of civilian enterprises.Central Content and View:First Section: the Corporate Governance Theory and ModeThis section is divided into two parts. The first part studies the corporate governance's meanings which have been explained by narrow and broad senses, realistic and academic bases for corporate governance coming into being, and aim. The second part introduces the corporate governance mode from two facets, one is the meaning, the other is the three modes in other countries. Then, the writer suggests setting up the mode of ourselves which accommodate the situation of our country and enterprises by consulting the three modes.Second Section: the Status Quo and Questions of the Civilian Enterprises' Corporate GovernanceFirstly, the article introduces civilian enterprise's meaning, development, characteritics and the status and function in country's economy. Secondly, the article clarifies and comments on the existing mode of civilian enterprises, and studies the reason why they exist.
