Commercial Registration Legislative Research

Business Registration Law, one of the essential parts of traditional business law, is an important system for maintaining market order, improving the efficiency of deals and protecting commercial parties. Because the interrelated regulation in China is not advanced, the study of it is bound to be very imminent. The study, which is not very proper for our country, of the business registration regulations has been done in some Western countries (involving Japan, South Korea), Hong Kong area, Tai Wan area and etc. So the thesis tries to discuss these main problems of business registration law in our legal system, with the aid of approaches of jurisprudence, and in a comparative method.This thesis is presented in three parts, with 3,5000 words approximately.Part I first expounds the meaning of business and business parties, compares the relative regulations in several main countries and exams the history of the developments in business registration system, then gives the proper concept of business registration in China.With comparative approaches, Part II mainly deals with the shortcomings and problems in our legal system, analyzes the jurisprudence causes that lead to the defaults after explosing the existing problems in business registration regulations.On the basis of the former parts, Part III pays attention to perfection of the business registration methods. This part involves business sphere, credit system constructing, the obligation of register, commercial registration procedure and etc.At last, the author provides some opinions to perfect the commercial registration regulations in China.
