With the emergence of the joint-stock company and the separation between ownership and managerial right, it is important issue for manager's organizational efficiency to set up and perfect manager's incentive and constraint mechanism in corporate governance, which gradually draws widespread concern of people. Because of manager's opportunism behavior and informational asymmetry, incentive compatible of manager is very difficulty. Therefore, it is particularly important to set up a rational and scientific incentive and constraint mechanism. This paper, basing on theory foundation of enterprise's incentive and restriction theory, preliminarily analyses these question, which aim to reality of china, especially state-owned enterprise. Then, the paper puts forward setting up what kind of manager's incentive and constraint mechanism as well as the corresponding perfect suggestion for Chinese enterprise. The main content is as follows:The first part: The theories foundation of manager's incentive and constraint mechanismThe part mainly summarizes necessity of setting up manager's incentive and constraint mechanism, premise of incentive and constraint mechanism, relation and function of incentive and constraint.The second part: status quo of manager's incentive and constraint mechanism in corporate governanceIn this part, by analyzing status quo of manager's incentive and constraint mechanism, the paper points out existing problem of manager's incentive and constraint mechanism in our country. The third part: set up and perfect incentive mechanism of manager in corporate governance of our country In this part, firstly aiming at the existing problem of manager's incentive mechanism in our country, the paper puts forward content of setting up manager's incentive mechanism in our country based on the combination of long-term incentive and short-term incentive, material incentive and spirit incentive. Secondly, it is necessity to further perfect the condition of exerting the role of incentive mechanism, because of the primary term of constructing modern enterprise system, not enough maturely in all kinds of system and many existing problem. The fourth part: set up and perfect constraint mechanism of manager in corporate governance of our country In this part, firstly aiming at the existing problem of manager's constraint mechanism in our country, the paper puts forward content of setting up manager's constraint mechanism in our country based on the combination of interior constraint and exterior constraint, systemic constraint and social constraint. Secondly, it is necessity to further perfect the condition of exerting the role of constraint mechanism, because of the marketed economy of our country transfer from the planned economy and existing not mature in many aspects, such as the law, society and market etc. ConclusionThis part is overview. In present stage, majority of enterprise of our country have already established modern enterprise system, but two aspects between incentive and constraint exist serious short and "59 years old phenomenon" and" poor temple and wealth monk" pile up one after another. As a result, this seriously obstructs economic development step of our country. Therefore, starting from system and no-system, the paper sets up incentive and constraint mechanism according to the combination of material incentive and spirit incentive, long-term benefits and short-term benefits, system together with organize constraint and constraint by himself/herself, in order to solve the problem of agency and individual objective of manager deviating enterprise objective.
