Where is the clear line between coercion and autonomy in directorate rules? This is a basic theoretical issue of directorate rules. It can be simplified to be a more distinct issue, i.e., what is the criterion of coercion and autonomy in directorate rules and how to exercise such power. This is the core issue this thesis aims to answer. The legislation of directorate rules should satisfy the requirements of efficiency and equality. So the coercion in directorate rules should conform to the standard of necessity and efficiency, and law should authorize private company's directorate of more autonomy. This thesis argues that directorate rules should emphasize mandatory rules in procedural directorate law because due procedure results in due fact. This thesis includes three parts: preface,text and conclusion. Preface is about the value of this thesis, including theoretical value and practical value. Text has seven parts, which includes theories of coercion and autonomy in company law; important value of directorate rules research and the flaws in current rules and how to exercise state power in different companies. Conclusion is a summary of the foregoing dissertation, which point out the conclusion of this thesis as well as the flaws. The thesis uses several research methods to dissertate, such as contrast and interests judgment. With introducing economic theories into it, this thesis has a more wide view beyond law science. Meanwhile, this thesis contrasts China' s directorate rules with other directorate rules in over 20 countries and districts. Some company cases are also used to explain relative problems.
