The theory of governance is one of the most popular theory in western academic now days. On basis of the theory , it 's the aim of this article is study toll road of the government's responsibility in our country. In the course of governance, multiplier is pointed to in the space main body and orientation of the governance.The diversion of the governance put the great influence into the basic installation .With the sustainable development of economy and society, our country's modernization puts more and more requests on the construction of road infrastructure. However, the public sectors cannot deal with the increasing investment pressures of the road infrastructure effectively. Toll roads' franchise has been emerged under this background. From the perspective of public good theory and its characteristics, toll road is a sort of quasi-public good which has a higher excluding ability and rivalrousness. Therefore, from the perspective of feasibility, toll road can be operated by private sectors. At the same time, the public sectors has many problems in the operating process of road infrastructures such as non-market contact, the plurality of objectives, bureaucratic and so on, which reduce the effectiveness of the toll road's franchise. Furthermore, the governance's shift has affected the government's monopoly of the infrastructure industry. All the above reasons contribute to the flourishing of the toll road's franchise.As the important ingredient of public service's marketization, the objective of the toll roads' franchise operation lies in that the private sector should play a vital role in the provision of public service. However, the private sector's participation doesn't mean the exit of government. On the contrary, the problems in the franchise operation of toll roads illustrate the government should play an indispensable part in the public service's marketization. In my opinion, the government's responsibility in the toll road's franchise lies in the institution ability. That is to say, the government should set up effective institution framework for the franchise, so as to engender incentive for the private sector to participate in the franchise process as well as guaranteeing the quality of the public service. The fundamental aim of the government's responsibility is to keep a balance between the commonality and mercantilism.
