On The One - Man Company Of China And Its Legal Regulations

This article, starting with the concept and history of one-man company, refers to theworldwide regulations on one-man company and relevant provisions in China'sCorporation Law since 1994 and China's new Corporation Law. The authorprofoundly analyzes the one-man company by case studies, historical research,comparative studies and combining theory and empirical, and then sets forth thesignificance and effect of one-man company in theory, practice and litigation. Theauthor also analyzes the innovation and defects in this respect of the new CorporationLaw and puts forward countermeasures accordingly. Therefore, this article providessomething valuable to regulating one-man company in our country at the legal level.In Chapter 1, the author probes into the characteristic, classification, and history ofone-man company and points out that, considering the litigation in western countries,the government's attitude towards one-man company went through an evolvementfrom forbidding the establishment of one-man company to admitting the survivingone-man company to permitting its setup.In Chapter 2, the author analyzes advantages and disadvantages on the basic of thepositive and negative influence of one-man company and demonstrates the rationalityof one-man company.In Chapter 3, the author studies the various litigations in major countries in the worldand analyzes the limitation and problems before the implement of our newCorporation Law.In Chapter 4, the author points out the progress and significance of the regulation onone-man company, as well as some countermeasures towards the limitation andproblems advanced in the last chapter.Based on the above exposition, the author comes to the conclusion that one-mancompany is an important component of our development of market economy. Theregulation system about one-man company in our new Corporation Law will producea positive impact on China's future fate and success in the world economiccompetition.
