China's Listed Companies External Governance Problems And Countermeasures

With the economic globalization, the corporate governance is attracting more and more attention and has been a tidal wave all over the world. Based on the analysis of its subject and object, the corporate governance can be divided into internal and external corporate governance. And the criterion of this division is whether the right of governance comes from the investor' s ownership or directly from the Corporate Law. The internal corporate governance is according to the legal person system prescribed by the Corporate Law, namely, the governance of the stockholders meeting, board of directors and supervisors, and manager. While the external corporate governance comes from the interest related sides such as the government, creditor, company' s staff, customer, and so on. This dissertation, focuses on the internal governance, is attempted to explore problems in the corporate governance of listed Chinese companies and their countermeasures with a view of offering some references for the construction of national incorporated enterprises.This dissertation consists of four parts. The first part is an introduction, where the notion of corporate governance, including internal and external corporate governance, is clarified, and then the topic is presented, i.e. problems and countermeasures of the external corporate governance of national listed companies.The second part provides the theoretical basis for the interest related sides' participation in the external corporate governance. This part mainly defines concepts of the interest related sides and points out ideational sources of the corporate contract ideology, corporate social responsibility ideology, corporate democracy ideology and etc. related to the ideology of the interest related sides' joint corporate governance.The third part analyzes the present situation and problems of the external corporate governance of national listed companies from three aspects.
